This End-User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and 1219337 BC Ltd. DBA Path 2 Profit Bookkeeping and Tax ("Company," "We," or "Us") regarding your use of the Landed Cost Calculator Chrome Extension ("Software" or "Extension").
By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.
1. License Grant
Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:
•Install and use the Software on devices you own or control
•Use the Software for legitimate business purposes
•Access the Software's features and functionality as intended
2. Restrictions
You may not:
•Reverse engineer, decompile, or disassemble the Software
•Modify, adapt, or create derivative works of the Software
•Distribute, sell, lease, or sublicense the Software
•Remove or alter any copyright, trademark, or proprietary notices
•Use the Software for any illegal or unauthorized purpose
•Attempt to gain unauthorized access to our systems or third-party services
3. QuickBooks Online Integration
The Software integrates with QuickBooks Online through official APIs. By using this integration:
•You authorize the Software to access your QuickBooks Online data
•You are responsible for maintaining the security of your QuickBooks credentials
•You acknowledge that QuickBooks Online is governed by Intuit's separate terms of service
•We are not responsible for any issues arising from QuickBooks Online service interruptions
4. Data Processing
The Software processes invoice images and financial data locally on your device:
•Image processing occurs entirely on your local machine
•No invoice images or financial data are transmitted to our servers
•QuickBooks integration uses secure OAuth 2.0 authentication
•We do not store, access, or retain your financial information
5. Intellectual Property
The Software and all related materials are protected by copyright and other intellectual property laws:
•We retain all rights, title, and interest in the Software
•You do not acquire any ownership rights to the Software
•All trademarks and service marks are the property of their respective owners
6. Updates and Modifications
We may:
•Release updates, patches, or new versions of the Software
•Modify or discontinue features at our discretion
•Update this EULA with reasonable notice
Continued use of the Software after updates constitutes acceptance of any changes.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
•MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
•NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
•ACCURACY OR RELIABILITY OF CALCULATIONS
•UNINTERRUPTED OR ERROR-FREE OPERATION
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
•OUR TOTAL LIABILITY SHALL NOT EXCEED $100
•WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
•WE ARE NOT RESPONSIBLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR FINANCIAL LOSSES
•YOU ASSUME ALL RISKS ASSOCIATED WITH USING THE SOFTWARE
9. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
•Your use of the Software
•Your violation of this EULA
•Your violation of any third-party rights
•Any data or content you process through the Software
10. Termination
This EULA is effective until terminated:
•You may terminate by uninstalling the Software
•We may terminate if you breach this EULA
•Upon termination, you must cease all use and delete the Software
11. Third-Party Services
The Software may integrate with third-party services:
•QuickBooks Online (governed by Intuit's terms)
•OCR processing libraries
•Chrome Extension APIs
Your use of these services is subject to their respective terms and conditions.
12. Export Compliance
You acknowledge that the Software may be subject to export control laws and regulations. You agree to comply with all applicable laws regarding the export, re-export, and transfer of the Software.
13. Governing Law
This EULA shall be governed by and construed in accordance with the laws of [YOUR STATE/COUNTRY], without regard to conflict of law principles.
14. Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
This EULA constitutes the entire agreement between you and us regarding the Software and supersedes all prior agreements and understandings.
